Seminar Details
The seminar will focus on current legal practice in relation to brownfield sale and purchase. The aim of the seminar is to focus on practical issues for the professionals to be aware of rather than giving a high level overview of the law. The seminar is to be in two parts. Firstly in relation to the appointment of consultants, and secondly as to the transfer of potential liability in sale and purchase.
The seminar will set out what to look for in the terms and conditions of an environmental consultant in relation to brownfield sale and purchase. The seminar will comment on what to look for in provisions as to the amount of liability, indemnity/insurance and reliance. The seminar will comment on the tactical considerations and potential pitfalls regarding appointment and assessment by environmental consultants in sale and purchase.
In the sale and purchase of brownfield land it is normal to negotiate in relation to the transfer of potential liability. The seminar will touch briefly on the law of how liability is (or isn't) transferred but will focus more on providing a brief insight into typical negotiations and potential risks.
This will include comment on common issues such as what constitutes a buyer with knowledge; the difference in an asset purchase against a share purchase; and negotiation of warranties and indemnities.
